LOS ANGELES -- March 16, 2004 -- Northrop Grumman Corporation (NYSE:NOC) today announced that its Board of Directors has elected James R. O'Neill as corporate vice president and president of the company's $4.8 billion Information Technology sector. O'Neill will report to Ronald D. Sugar, Northrop Grumman's chairman, chief executive officer and president.

He will assume his new position on May 1, 2004, succeeding Herb Anderson, 64. Anderson will remain with the company through Nov. 1, during which time he will serve as corporate vice president in charge of special projects for the CEO. Anderson, who will retire at age 65 in accordance with the company's mandatory retirement policy for officers, will continue to report to Sugar.

O'Neill, 50, currently serves as president of the sector's TASC business unit, which focuses on the intelligence, space and enterprise security markets.

"Jim has been a leading high-technology executive for more than 25 years," Sugar stated. "His extensive experience in meeting the needs of the United States Government and commercial customers makes him ideally qualified to lead our important IT sector. Put simply, he's a proven executive who knows our customer base, and we look forward to his leadership."

Sugar added, "We are very grateful to Herb for the many significant contributions he has made during his 20 years of dedicated service to the company. He laid the foundation for the company's IT business and led the integration of the IT capabilities of various acquired companies. Herb managed annual revenue growth of the IT business from approximately $300 million in 1994 to $4.8 billion today and established the sector as one of the government's top IT service providers -- clearly impressive results. His stewardship has greatly and positively impacted this company. We look forward to his continued guidance during the transition period and wish him well in his retirement."

O'Neill came to Northrop Grumman in March 2002 as president of the TASC business unit. Prior to joining the company, O'Neill served as senior vice president and general manager at Oracle Services Industries, overseeing sales and consulting groups in the company's communications and utilities sectors. He previously served as corporate officer and president of Government Solutions for Lucent Technologies. O'Neill also held senior management positions in the federal government region for Digital Equipment Corporation. He began his career at Sanders Associates, now BAE Systems.

O'Neill received a bachelor's degree from Saint Anselm College in New Hampshire and has attended executive management courses at Massachusetts Institute of Technology and Trinity College, Dublin, Ireland.
